1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Intellixio (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the Intellixio corporate website located at https://intellixio.com and its subdomains, as well as any other media form, content, or marketing materials related, linked, or otherwise connected thereto (collectively, the “Site”).

The Site provides information about our company, our research, and our software-as-a-service products. The Site is distinct from our software products, ZendoLead and ZendoWhisper, which are governed by their own specific terms.

By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change.

2. Our Products

Intellixio owns and operates distinct software products, including ZendoLead and ZendoWhisper. Your access to and use of these products are not governed by these Terms. Each product is governed exclusively by its own set of legal agreements, which you must agree to before using that specific service.

• ZendoLead: Governed by the ZendoLead Terms of Service.
• ZendoWhisper: Governed by the ZendoWhisper Terms of Service.

These Intellixio Terms of Service do not apply to, and shall not be interpreted to modify, the terms applicable to any of our products.

3. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software concepts, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable license to access the Site for your personal, non-commercial informational purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or transmit any of the material on our Site without our prior written consent.

4. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Site through automated or non-human means, such as a bot or script, for purposes of scraping, data mining, or any other unauthorized extraction.
• You will not use the Site for any illegal or unauthorized purpose, and your use of the Site will not violate any applicable law or regulation.

5. Prohibited Activities

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SITE'S CONTENT (INCLUDING BLOG POSTS, ARTICLES, AND CASE STUDIES) OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE. THE CONTENT ON THE SITE IS PROVIDED FOR GENERAL INFORMATION ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO $100.00 USD.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your: (1) use of the Site; (2) breach of these Terms; or (3) violation of the rights of a third party.

10. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted exclusively in the courts located in Dhaka, Bangladesh, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in such courts.

11. General Provisions

• Entire Agreement: These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us.
• Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
• Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
